By the late 1970s, a new bicycle sport begun by enthusiasts in Northern California had grown into a new type of all-terrain bicycle, the mountain bike. Mountain bikes were originally based on Schwinn balloon-tired cruiser bicycles fitted with derailleur gears and called “Klunkers”. A few participants began designing and building small numbers of mountain bikes with frames made out of modern butted chrome-molybdenum alloy steel. When the sport’s original inventors demonstrated their new frame design, Schwinn marketing personnel initially discounted the growing popularity of the mountain bike, concluding that it would become a short-lived fad. The company briefly (1978–1979) produced a bicycle styled after the California mountain bikes, the Klunker 5.
This policy was the same whether distribution took the form of the so-called Schwinn Plan deliveries to retailers or agency and consignment arrangements, or whether it took the form of sales by Schwinn to wholesalers and resale by them to retailers. The record shows that this policy was implemented largely through request and persuasion by Schwinn. We agree, and, upon remand, the decree should be revised to enjoin any limitation upon the freedom of distributors to dispose of the Schwinn products, which they have bought from Schwinn, where and to whomever they choose. It is within these boundary lines that we must analyze the present case.
Not all vintage Schwinns have serial numbers or follow a set convention for placement and numbering. The company’s next answer to requests for a Schwinn mountain bike was the King Sting and the Sidewinder, inexpensive BMX-derived bicycles fabricated from existing electro-forged frame designs, and using off-the-shelf BMX parts. Centuries ago, it could perhaps be assumed that a manufacturer had no legitimate interest in what happened to his products once he had sold them to a middleman and they had started their way down the channel of distribution. But this assumption no longer holds true in a day of sophisticated marketing policies, mass advertising, and vertically integrated manufacturer-distributors. [Footnote 2/15] Restrictions like those involved in a franchising program should accordingly be able to claim justification under the ancillary restraints doctrine. The Sting-Ray had ape-hanger handlebars, Persons’s Solo Polo Seat banana seat, and 20-inch tires.
